1. Scope of Work and Digital Infrastructure Delivery: Xclipse Networks (hereinafter referred to as the "Provider") agrees to architect, develop, and deploy custom digital infrastructure, web applications, and related technical services for the Client. This scope encompasses frontend architecture, user interface design, backend database integration, and secure deployment protocols as explicitly defined in the approved project specifications. Any structural modifications, additional feature requests, or third-party software integrations requested outside of the initial documented scope will be strictly evaluated as separate entities and will incur supplementary invoicing under a formal change order. The Provider ensures that all codebases utilize modern, high-performance frameworks engineered for optimal speed, scalability, and security.
2. Data Extraction, Asset Sourcing, and Integration Authorizations: By entering into this agreement, the Client formally authorizes the Provider to extract, utilize, process, and reference text, images, multimedia, and other relevant data assets from the Client's pre-existing web properties, public domains, and provided repositories. The Client warrants that they hold the necessary licenses, copyrights, and permissions for all provided materials and indemnifies the Provider against any legal claims arising from intellectual property disputes related to these provided assets. The Provider agrees to handle all proprietary data with strict confidentiality and deploy it solely for the purpose of executing the agreed-upon digital build.
3. Intellectual Property, Ownership, and Code Licensing: Throughout the development lifecycle, all draft designs, structural wireframes, and uncompiled source code remain the exclusive intellectual property of Xclipse Networks. Upon the successful completion of the project and the absolute clearance of all final invoice payments, full ownership and licensing rights of the deployed frontend assets, compiled code, and final visual designs will be officially transferred to the Client. The Provider retains the right to utilize non-sensitive project visuals, performance metrics, and general architectural concepts within their professional portfolio, case studies, and marketing collateral unless a separate Non-Disclosure Agreement (NDA) is executed.
4. Revision Cycles, Scope Creep, and Continuous Deployment: The standard deployment pipeline includes a predefined number of revision cycles as outlined in the primary project quote. These revisions are specifically allocated for minor adjustments to styling, layout configurations, and localized content modifications. Requests that alter the core functional architecture, database schemas, or require substantial recoding are classified as out-of-scope deployments (Scope Creep). Such requests will pause the current deployment pipeline until a secondary invoice is authorized and cleared by the Client.
5. Warranties, Limitation of Liability, and Legal Binding: The Provider guarantees that the digital infrastructure will function substantially in accordance with the agreed specifications upon the official launch date. However, the Provider does not warrant that the operation of the web applications will be completely uninterrupted or entirely error-free indefinitely, given the rapidly evolving nature of web browsers, operating systems, and third-party APIs. Under no circumstances shall Xclipse Networks be held liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data corruption, or business interruption arising from the use or inability to use the deployed systems. This electronic signature carries the absolute legal weight, validity, and enforceability of a physical, hand-signed document under all applicable global digital transaction and electronic signature laws.
